Terms of Service

By installing or using the Chargeback Shield application ("Service", "App"), you ("Merchant", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all merchants accessing the Service through the Shopify App Store.

Chargeback Shield is a Shopify application that provides:

• Automated fraud risk scoring for incoming orders
• AI-assisted chargeback dispute response drafting
• Evidence collection and organization for dispute submissions
• Real-time dispute monitoring and alerting
• Fraud signal aggregation across a merchant network

The Service is a decision-support tool. All final decisions regarding dispute submissions, fraud prevention actions, or customer interactions remain with you, the Merchant.

• You are responsible for maintaining the accuracy of your account information.
• You must comply with all applicable laws, including consumer protection and privacy regulations, when using the Service.
• You are responsible for reviewing AI-generated dispute responses before submission. Chargeback Shield does not guarantee the outcome of any dispute.
• You may not use the Service to engage in fraudulent activity or to submit false information to payment processors or card networks.
• You are responsible for ensuring that your use of the Service complies with Shopify's Partner Program Agreement and Acceptable Use Policy.
• You must promptly notify us of any unauthorized access to your account.

By using the Service, you expressly consent to the following data practices:

• Fraud Network Participation: Anonymized fraud signals from your store (e.g., IP addresses, device fingerprints, order patterns) may be shared with our merchant fraud network to improve detection across all participating stores. No personally identifiable customer information (names, emails, addresses) is included in this sharing.
• AI Processing: Order and dispute data may be sent to third-party AI providers (including OpenAI) for the purpose of generating dispute response drafts.
• Data Retention: We retain your data for up to 24 months as described in our Privacy Policy.

You may opt out of fraud network participation by contacting [email protected]. Opting out may reduce the effectiveness of fraud detection for your store.

Access to the Service may require a paid subscription. Billing is processed through Shopify's billing system. Subscription fees are charged in advance on a monthly basis. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

All intellectual property rights in the Service, including software, AI models, and brand assets, belong to Chargeback Shield. You are granted a limited, non-exclusive, non-transferable license to use the Service during the term of your subscription. You retain ownership of your store data.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, error-free, or secure
• Fraud risk scores are accurate or will prevent all fraudulent transactions
• AI-generated dispute responses will result in successful chargeback reversals
• The Service will meet your specific business requirements

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHARGEBACK SHIELD, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from fraudulent transactions not detected by the Service
• Damages arising from lost or unsuccessful chargeback disputes

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Chargeback Shield and its affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use of the Service after the effective date of changes constitutes your acceptance of the revised Terms.
